Terms & Conditions

The terms that apply when you work with Sofcore Solutions, including our payment terms.

Last updated: 27 October 2026

1. About these terms

These Terms & Conditions apply to all services provided by Sofcore Solutions LTD (“Sofcore”, “we”, “us”), a company registered in England with its address at 80 Nicholas Gardens, York, England. By accepting a proposal, paying an invoice or asking us to start work, you (“the client”) agree to these terms. You can contact us at info@sofcoresolutions.com or +44 7482 790055.

2. Our agreement

Your agreement with us is made up of the written proposal or quote you accept and these Terms & Conditions, together with our Payment Policy and Refund Policy. If anything in your proposal conflicts with these terms, the proposal takes priority for that project.

3. Services and scope

We provide the services described in your proposal, which may include website and app development, digital marketing, SEO, GEO and AEO, e-commerce, SaaS development and UK or US company formation. Work outside the agreed scope is treated as a change request and quoted separately before we begin it.

4. Quotes and proposals

  • Quotes are valid for 30 days from the date issued.
  • Fixed prices apply to the agreed scope only.
  • Timelines are estimates and depend on you providing content, access and feedback on time.

5. Payment terms

Our full payment terms are set out in our Payment Policy. The key points are:

  • Advance payment is required before work starts: 50% for websites and stores, 40% for apps, SaaS and custom development, and 100% for company formation, small projects and third-party costs.
  • Monthly services are paid in advance at the start of each month.
  • Balances and milestones are due within 7 days of the invoice date, and final launch or handover takes place once all invoices are paid.
  • Late payment may lead to work being paused, and for business clients, statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
  • Prices exclude VAT and other applicable taxes, which are added where required by law.

6. Your responsibilities

  • Provide accurate information, content, logins and approvals when needed.
  • Make sure any content, images or materials you give us are yours to use.
  • Review work and give feedback within a reasonable time, normally 7 days.
  • For company formation, provide genuine identity documents and complete any identity verification required by authorities.

Delays in providing these may extend timelines and, if a project is paused for more than 30 days because of missing input, we may invoice for the work completed so far.

7. Revisions and approvals

Each proposal states the number of revision rounds included. Additional revisions, or changes after approval, may be charged separately. Approval of a design, milestone or deliverable by email or message confirms that stage is complete.

8. Intellectual property

Once all invoices are paid in full, you own the final designs, content and custom code we create specifically for you. We keep ownership of our pre-existing tools, frameworks and know-how, and third-party software, themes, plugins, fonts and stock assets remain subject to their own licences. Unless you ask us not to, we may show non-confidential work in our portfolio.

9. Third-party services

Many services rely on third parties, such as hosting providers, domain registrars, payment gateways, app stores, advertising platforms, Companies House and US state authorities. Their terms, fees and decisions are outside our control, and we are not responsible for their outages, policy changes, account restrictions or approvals.

10. Marketing, SEO and advertising results

We use best-practice methods, but search engines, AI platforms and ad networks control their own algorithms. We therefore cannot guarantee specific rankings, AI citations, traffic, leads or sales.

11. Company formation services

We prepare and submit company formation applications based on the information you provide. We are not a law firm or accounting practice and do not give legal or tax advice; you should take professional advice on tax and compliance in every country where you live or do business. Registration decisions are made by the relevant authorities.

12. Confidentiality and data

We keep your business information confidential and only use it to deliver our services. Personal data is handled in line with our Privacy Policy and the UK GDPR.

13. Limitation of liability

Our total liability for any claim relating to a service is limited to the fees you paid us for that service in the 12 months before the claim. We are not liable for indirect or consequential losses, such as loss of profit, revenue, data or business opportunity. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

14. Cancellation and termination

Either party may end a monthly service with 30 days’ written notice. Either party may end a project if the other seriously breaches these terms and does not fix the breach within 14 days of written notice. On termination, you pay for work completed up to that date, and refunds are handled under our Refund Policy. If you are a consumer, you also have the cancellation rights described in that policy.

15. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction over any dispute. We will always try to resolve concerns informally first.

16. Changes to these terms

We may update these terms from time to time. The version in force when you accept a proposal applies to that project, and the latest version is always available on this page.
